By accessing or using Celetu ("Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Celetu. We reserve the right to modify these Terms at any time. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

Celetu provides a platform that helps businesses:

• Find relevant conversations on social media platforms (Reddit, X/Twitter, LinkedIn)
• Analyze and rank posts based on relevance to their business
• Track visibility and mentions in AI systems (ChatGPT, Claude, Gemini)
• Generate AI-powered engagement recommendations
• Manage social media engagement strategies

3. Eligibility

You must meet the following requirements to use the Service:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information
• Not use the Service for any illegal or unauthorized purpose

4. Account Registration and Security

4.1 Account Creation

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and keep your account information updated.

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring no one else uses your account

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any reason at our sole discretion.

5. Subscription Plans and Payment

5.1 Paid Subscriptions

We offer the following subscription plans:

• Weekly Trial: 7-day access to all features
• Pro Plan: Monthly subscription with full access
• Done-For-You: Managed service with dedicated support

5.2 Payment Terms

• All payments are processed securely through Stripe
• Subscriptions renew automatically unless cancelled
• Prices are in USD and subject to change with 30 days' notice
• You authorize us to charge your payment method on file
• Failed payments may result in service suspension

5.3 Refund Policy

We offer a 14-day money-back guarantee. To request a refund, contact us at support@celetu.com within 14 days of your purchase. Refunds are not available after 14 days or for partial subscription periods.

5.4 Cancellation

You may cancel your subscription at any time through your account settings or Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. No refunds for partial periods.

6. Acceptable Use Policy

6.1 Permitted Uses

You may use the Service to:

• Find and engage with relevant social media conversations
• Track your business's AI visibility
• Generate insights and recommendations
• Manage your social media engagement strategy

6.2 Prohibited Uses

You may NOT use the Service to:

• Post spam, unsolicited messages, or deceptive content
• Engage in harassment, abuse, or hate speech
• Violate any laws, regulations, or third-party rights
• Impersonate others or misrepresent your identity
• Attempt to gain unauthorized access to our systems
• Scrape, crawl, or reverse engineer the Service
• Use automated systems (bots) without authorization
• Resell or redistribute the Service
• Interfere with the Service's operation or security
• Upload malware, viruses, or malicious code

7. Third-Party Platforms

Our Service integrates with third-party platforms (Reddit, X/Twitter, LinkedIn, OpenAI, Anthropic, Google). You acknowledge that:

• You must comply with each platform's terms of service
• We are not responsible for third-party platform policies or changes
• Third-party platform access may be revoked at any time
• You grant us permission to access your connected accounts
• We do not control third-party platform content or availability

8. Intellectual Property Rights

8.1 Our Property

The Service, including all content, features, functionality, software, code, algorithms, designs, logos, and trademarks, is owned by Celetu and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

8.2 Your Content

You retain ownership of any content you provide (business descriptions, posts, feedback). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and analyze your content to provide and improve the Service.

8.3 Feedback

Any feedback, suggestions, or ideas you provide become our property, and we may use them without compensation or attribution.

9. Disclaimers and Limitations

9.1 Service "AS IS"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Guarantee of Results

We do not guarantee that the Service will result in increased sales, leads, or AI visibility. Results depend on many factors outside our control, including your engagement quality, market conditions, and third-party platform algorithms.

9.3 AI Limitations

AI-generated insights, rankings, and recommendations are based on algorithms that may not always be accurate. We do not guarantee the accuracy, completeness, or reliability of AI outputs.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CELETU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Celetu and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) your content.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at support@celetu.com and attempt to resolve the dispute informally for at least 30 days.

12.2 Jurisdiction

If informal resolution fails, you and Celetu agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation. Nothing in this clause limits any non-waivable consumer rights you may have under the laws of your country of residence.

12.3 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales.

13. Termination

Either party may terminate this agreement at any time:

• By You: Cancel your subscription through account settings
• By Us: Suspend or terminate your account for Terms violations

Upon termination, your access to the Service ends immediately. Sections related to payment, liability, indemnification, and dispute resolution survive termination.

14. Miscellaneous

14.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Celetu.

14.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.

14.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
